MoTZ Terms of Service

These Terms of Service ("Terms") are a binding legal agreement between you ("you", "your", or "user") and Kyroh LLC, a New Jersey (USA) limited liability company ("MoTZ", "we", "us", or "our"), that governs your access to and use of the MoTZ web application (currently at https://motz-web.vercel.app and, in the future, https://app.markofthezeal.com), the MoTZ Discord bot, and any related features, tools, and content we make available (together, the "Service").
Please read these Terms carefully. They include important provisions that affect your legal rights, including a binding individual arbitration requirement and a class-action waiver in Section 15, and a limitation of our liability in Section 12. Section 15 also describes a 30-day opt-out window for the arbitration agreement.
MoTZ is a community companion application for the Moki ecosystem on the Ronin blockchain. MoTZ is not a wallet, an exchange, a broker, a bank, a money transmitter, or a financial institution. We do not custody your assets, hold your private keys, or provide financial, investment, legal, or tax advice.
1. Acceptance of These Terms
By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, you must not access or use the Service.
When you sign in to MoTZ, you do so by signing a Sign-In-With-Ethereum (EIP-4361) message with your non-custodial wallet. That sign-in message references these Terms and our Privacy Policy by version number. By signing the message, you acknowledge that you have read, understood, and agree to be bound by the referenced version of these Terms and the Privacy Policy. The sign-in signature is free and gasless: it authenticates you and sends no blockchain transaction and moves no assets.
If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.
2. Eligibility
To access or use the Service, you represent and warrant that:
- You are at least 18 years old and have the legal capacity to enter into a binding contract.
- You are not identified on, or acting on behalf of anyone identified on, any U.S. government sanctions list, including the U.S. Treasury Department's Office of Foreign Assets Control ("OFAC") Specially Designated Nationals and Blocked Persons List.
- You are not located in, ordinarily resident in, or organized under the laws of any country or region subject to comprehensive U.S. sanctions, which currently include Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions.
- You will not use the Service to evade any sanctions or export-control law, or on behalf of any person subject to such measures.
- Your use of the Service does not violate any law or regulation that applies to you.
We may deny access, block wallet addresses, or terminate accounts to comply with sanctions and other legal obligations at any time.
3. Description of the Service
The Service currently offers, or may in the future offer, the following features. Availability of any feature may change, and some features are still in development.
- Wallet sign-in. You authenticate using a non-custodial wallet (Ronin Wallet, Ronin Waypoint email/social login, or WalletConnect) by signing an EIP-4361 message. See Section 4.
- Asset tracking and valuations. The Service reads publicly available on-chain data associated with your wallet address and displays holdings and estimated valuations. This information is read-only and provided for convenience only. See Section 5.
- Community tipping. You may send "tips" to other community members. Tips are recorded as adjustments to balances in an off-chain IOU ledger kept in our database. Tips are bookkeeping entries, not instant on-chain transfers. See Section 6.
- Staking (future). We may offer features that let you lock up tokens for a period of time. Staking involves smart-contract risk and offers no guaranteed return. See Section 7.
- Games, wiki, and tools. Community games, informational wiki content, and utility tools.
- Discord account linking. You may link your Discord account to your MoTZ account using Discord OAuth, after which MoTZ Discord bot commands act on the same MoTZ account. See Section 8.
We may add, change, suspend, or remove features at any time.
4. Non-Custodial Sign-In and Wallets
MoTZ is non-custodial. We never take possession or control of your private keys, seed phrases, or digital assets, and we cannot move, freeze, or recover them.
- Your wallet is provided and controlled by third-party software (for example, Ronin Wallet, Ronin Waypoint, or a WalletConnect-compatible wallet). Your use of that wallet is governed by the wallet provider's own terms, not ours.
- Sign-in works by having you cryptographically sign a message that proves you control a wallet address. This signature does not authorize any transfer of assets and does not incur any gas fee.
- You are solely responsible for the security of your wallet, private keys, seed phrase, and devices. Anyone who controls your wallet can sign in as you. We cannot restore access to a wallet you have lost control of, and we cannot reverse actions taken by someone using your wallet.
5. Blockchain Data and Risks
You understand and accept the inherent characteristics and risks of blockchain technology:
- Transactions are irreversible. Once a transaction is confirmed on a blockchain, it generally cannot be reversed, canceled, or refunded. We cannot reverse, cancel, or recover any on-chain transaction.
- Third-party data "as is". Asset holdings, token metadata, prices, and valuations that MoTZ displays are derived from public blockchains and third-party data sources. This information is provided "as is" and "as available", may be delayed, incomplete, or inaccurate, and must not be relied upon as a statement of your actual holdings or their value. Always verify against authoritative sources before acting.
- No control over networks. We do not operate the Ronin blockchain or any other blockchain, and we are not responsible for their operation, security, forks, congestion, downtime, or changes.
- Volatility and loss. Digital assets are highly volatile and can lose all value. You bear all risk associated with acquiring, holding, and transacting in digital assets.
6. Tipping Ledger Terms
The MoTZ tipping feature operates on an off-chain IOU ledger maintained in our database. By using it, you agree to the following:
- Bookkeeping entries, not deposits. A tip adjusts internal ledger balances. Ledger balances are records of amounts we track on your behalf. They are not bank deposits, stored value, e-money, or a claim against MoTZ beyond what these Terms describe, and they earn no interest.
- Not a payment or money-transmission service. The ledger is a community feature for recognizing contributions. It is not a money-transmission, payment-processing, remittance, or e-money service, and MoTZ does not act as a money transmitter.
- Claims are discretionary and collateral-limited. Ledger balances may become redeemable for real tokens only through an admin-approved claim process. Any claim is processed at our discretion, at timing we determine, and only to the extent supported by available collateral. We do not guarantee that any claim will be approved, that tokens will be available, or that a claim will be honored on any particular schedule.
- We may correct errors. We may adjust, reverse, freeze, or correct ledger entries that result from bugs, abuse, fraud, error, or violations of these Terms.
- No guarantee of value. Ledger balances have no guaranteed monetary value and may be discontinued.
7. Staking Risk
If we offer staking or other lock-up features, you acknowledge:
- Staking may require locking tokens for a defined period during which you cannot access or transfer them.
- Staking may rely on smart contracts, which can contain bugs, vulnerabilities, or economic exploits that result in partial or total loss.
- No return is guaranteed. Any rewards, yields, or incentives are variable, discretionary, and not promised. Staking is not an investment offered by MoTZ, and MoTZ does not guarantee any outcome.
- You are responsible for evaluating the risks before participating.
8. Accounts and Discord Linking
- One account per person. Each user may maintain a single MoTZ account. You must not create or operate multiple accounts to circumvent limits, bans, or Service rules.
- Accurate information. Any information you provide (such as a display name) must be accurate and not misleading, unlawful, or infringing.
- Discord linking. Linking is initiated from the authenticated web app using Discord OAuth. Once linked, MoTZ Discord bot commands resolve to, and act on, your MoTZ account and its data. You are responsible for the security of your Discord account. Your use of Discord is governed by Discord's own terms.
- Responsibility for activity. You are responsible for all activity that occurs through your MoTZ account, your linked Discord account, and your wallet.
9. Acceptable Use
You agree not to, and not to attempt to:
- Exploit, abuse, or manipulate any feature, including the tipping ledger, staking, or games (for example, through bugs, automation, sybil accounts, or collusion).
- Access the Service or its data through unauthorized scraping, crawling, or automated means beyond what we expressly permit, or in a way that overloads, disrupts, or degrades the Service.
- Use the Service for any unlawful purpose, or to launder money, finance terrorism, or evade sanctions or export controls.
- Harass, threaten, defame, impersonate, or abuse other users or our staff, or post unlawful, infringing, or harmful content.
- Interfere with, probe, or breach the security of the Service; introduce malware; or attempt to gain unauthorized access to accounts, systems, or data.
- Reverse engineer, decompile, or attempt to extract source code, except to the extent this restriction is prohibited by law.
- Infringe our or any third party's intellectual property or other rights.
We may investigate and take action, including suspension or termination, for any suspected violation.
10. Third-Party Services
The Service integrates or interoperates with third-party services and software, including Ronin / Sky Mavis (wallet and network services), Discord (account linking and the bot), WalletConnect, Supabase (database and authentication hosting), and Vercel (web hosting), among others.
We do not control and are not responsible for these third-party services. Your use of them is governed by their own terms and privacy policies. Their inclusion does not imply endorsement, and we disclaim liability for their acts, omissions, availability, or content.
11. Intellectual Property
- Our content. The Service, including its software, design, text, graphics, logos, and other content (excluding third-party content and your content), is owned by MoTZ or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. All rights not expressly granted are reserved.
- Trademarks. "MoTZ", "Mark of The Zeal", and related names and logos are marks of Kyroh LLC. Other names and marks are the property of their respective owners.
- Feedback. If you send us suggestions, ideas, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate it without obligation or compensation to you.
12. Disclaimers of Warranty
THE SERVICE, INCLUDING ALL CONTENT, DATA, VALUATIONS, AND FEATURES, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DATA OR VALUATIONS WILL BE ACCURATE, COMPLETE, OR CURRENT. WE MAKE NO WARRANTY REGARDING THE VALUE OF ANY TOKEN OR DIGITAL ASSET AND PROVIDE NO FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE. Any decisions you make based on the Service are your sole responsibility.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MOTZ (KYROH LLC), ITS MEMBERS, MANAGERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR DIGITAL ASSETS, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100) OR (B) THE TOTAL FEES YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations are a fundamental part of the agreement between you and us. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless MoTZ (Kyroh LLC) and its members, managers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms or any law; (c) your violation of any right of a third party; or (d) your wallet, Discord account, or content. We may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with us.
15. Dispute Resolution; Binding Arbitration; Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND REQUIRES INDIVIDUAL ARBITRATION INSTEAD OF COURT AND JURY TRIALS FOR MOST DISPUTES.
- Agreement to arbitrate. You and MoTZ agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, and not in court, except as provided below. This agreement is governed by the Federal Arbitration Act.
- Rules and administrator. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. The AAA rules are available at www.adr.org.
- Class-action waiver. You and MoTZ agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any representative or class proceeding.
- 30-day opt-out. You may opt out of this arbitration agreement by emailing kyroh@markofthezeal.com with your wallet address and a clear statement that you opt out of arbitration, within 30 days of first accepting these Terms. If you opt out, neither you nor MoTZ is bound to arbitrate, but the rest of these Terms still apply.
- Small-claims carve-out. Either party may bring an individual claim in a small-claims court if it qualifies and remains in that court.
- Injunctive relief carve-out. Either party may seek injunctive or equitable relief in court to protect its intellectual property or confidential information.
- Severability of this section. If the class-action waiver is found unenforceable as to a particular claim, that claim will be severed and heard in court, while the remainder of this Section continues to apply.
16. Governing Law
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws rules. Subject to Section 15, the state and federal courts located in New Jersey will have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to their personal jurisdiction and venue.
17. Termination and Suspension
We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including if we believe you have violated these Terms, to comply with law or sanctions, or to protect the Service or other users. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive, including Sections 5 through 16 and 18.
18. Changes to These Terms
We may update these Terms from time to time. When we do, we will publish the new version and update its version number and effective date, and we will maintain a version archive at /legal.
- Material changes will be re-presented for your acknowledgment, and you will be asked to accept the new version (for example, by signing an updated sign-in message that references the new version) before continuing to use affected features.
- Non-material changes take effect when published, and your continued use of the Service after they take effect constitutes acceptance.
Because acceptance is recorded by version at sign-in, the version you accepted governs your use until you accept a later version.
19. General
- Severability. If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them freely, including in connection with a merger, acquisition, or sale of assets.
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede any prior agreements on that subject.
- No agency. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and us.
